These Terms of Service ("Terms") govern your access to and use of TaskAt's websites, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.


1. The Service

TaskAt helps you manage requests to your clients and stakeholders, including by:

  • Creating and tracking client requests
  • Generating and sending emails and follow-ups
  • Receiving inbound emails or forwarded emails to create "threads" and proposals
  • Providing client portals for uploads, approvals, and responses
  • Offering AI-assisted suggestions and drafts

The Service may integrate with third-party providers (e.g., email delivery services, analytics, identity/auth, storage, and AI model providers).

2. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

You agree to:

  • Provide accurate account information
  • Keep your credentials secure
  • Be responsible for all activity under your account
  • Promptly notify us of unauthorized access

3. Your Content and Data

3.1 Definitions

  • Customer Data: Content you or your end users submit to the Service, including emails, attachments, messages, contacts, requests, and metadata.
  • Output: Content generated by the Service, including AI-generated drafts, summaries, and classifications.

3.2 Ownership

You retain ownership of your Customer Data. We do not claim ownership over it.

3.3 License to Operate the Service

You grant TaskAt a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to:

  • Provide, maintain, and improve the Service
  • Prevent or address technical or security issues
  • Comply with law and enforce these Terms

3.4 Responsibility for Customer Data

You are responsible for:

  • Ensuring you have rights/permissions to submit Customer Data (including forwarding emails and uploading attachments)
  • Ensuring your use complies with law and your own client contracts
  • Configuring email forwarding and client communications appropriately

4. AI Features and Model Providers

The Service may use AI to generate drafts, extract tasks, classify replies, and summarize threads.

4.1 AI Output Is Not Guaranteed

AI Output may be incorrect, incomplete, or inappropriate. You are responsible for reviewing Output before sending or relying on it. TaskAt does not guarantee accuracy.

4.2 Third-Party AI Providers

We may send portions of Customer Data to third-party AI providers to provide AI features (e.g., generating drafts). We do so under our agreements with those providers and consistent with our Privacy Policy and security measures.

4.3 Prohibited AI Use

You must not use AI features to generate or send:

  • Unlawful, harmful, harassing, discriminatory, or deceptive content
  • Spam or unsolicited bulk communications
  • Content that infringes intellectual property rights
  • Content that violates third-party platform policies

5. Email and Messaging Compliance

Because TaskAt sends and receives email, you agree that:

  • You will only contact recipients with a legitimate business purpose and appropriate permissions
  • You will comply with applicable email laws and regulations (e.g., CAN-SPAM, CASL, GDPR, PECR) and any recipient-specific requirements
  • You will not use TaskAt to send spam, phishing, malware, or deceptive messages
  • You are responsible for the content of messages you send
  • TaskAt may implement guardrails (e.g., rate limits, daily caps, recent-send blocks, suppression lists) and may suspend sending to protect deliverability and compliance

6. Acceptable Use

You agree not to:

  • Reverse engineer, disrupt, or interfere with the Service
  • Bypass rate limits or access restrictions
  • Probe or scan for vulnerabilities
  • Use the Service to store or transmit malware
  • Impersonate others or misrepresent your affiliation
  • Use the Service to violate privacy, confidentiality, or data protection laws

We may suspend or terminate accounts that violate these rules.

7. Third-Party Services and Integrations

The Service may integrate with third-party services (e.g., Resend, Postmark, Gmail forwarding, Slack, storage providers). Your use of those services is governed by their terms and policies.

TaskAt is not responsible for third-party services, their outages, or their actions.

8. Fees, Trials, and Payments

8.1 Plans and Billing

Fees (if any) will be described at purchase. You authorize TaskAt (or its payment processor) to charge applicable fees.

8.2 Taxes

Fees are exclusive of applicable taxes, which you are responsible for.

8.3 Refunds

Refund policies (if any) will be stated at checkout or in your plan details.

8.4 Nonpayment

If payment fails or is overdue, we may suspend or downgrade your access after notice.

9. Beta Features

Some features may be labeled beta, preview, or early access. Beta features are provided "as is," may change, and may be discontinued.

10. Security

We use reasonable administrative, technical, and organizational measures to protect Customer Data. However, no system is 100% secure. You are responsible for maintaining appropriate security controls on your side (e.g., strong passwords, access controls).

11. Confidentiality

Each party may receive confidential information from the other. You agree not to disclose TaskAt's confidential information, and we agree not to disclose your confidential Customer Data except as permitted by these Terms and our Privacy Policy.

12. Term and Termination

12.1 Term

These Terms apply while you use the Service.

12.2 Termination by You

You may stop using the Service at any time. You may request account deletion through the Service or by contacting support.

12.3 Termination by TaskAt

We may suspend or terminate access if:

  • You breach these Terms
  • Required by law
  • Necessary to prevent harm to the Service, users, or others

Where reasonable, we will provide notice and an opportunity to cure.

12.4 Effect of Termination

Upon termination, your right to use the Service ends. We may delete or anonymize Customer Data as described in our Privacy Policy and data retention practices, unless legally required to retain it.

13. Intellectual Property

We own the Service, including its software, design, and underlying technology, and all related intellectual property rights.

You may not copy, modify, distribute, sell, or lease any part of the Service except as allowed by these Terms.

14. Feedback

If you provide feedback or suggestions, you grant TaskAt a perpetual, irrevocable, worldwide license to use it without restriction or compensation.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKAT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TASKAT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT (INCLUDING AI OUTPUT) WILL BE ACCURATE OR RELIABLE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • TASKAT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • TASKAT'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO TASKAT FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF YOU HAVE NOT PAID).

Some jurisdictions do not allow certain limitations; in that case, these limitations apply to the fullest extent permitted.

17. Indemnification

You agree to defend, indemnify, and hold harmless TaskAt and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service
  • Your Customer Data
  • Your communications (emails, requests) sent via the Service
  • Your violation of these Terms or applicable law

18. Governing Law; Disputes

These Terms are governed by the laws of the State of Texas, United States, excluding conflict-of-law principles.

Any dispute will be resolved in the courts located in Texas, and you consent to jurisdiction and venue there.

19. Changes to the Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., in-app or via email). Your continued use after the effective date of changes means you accept the updated Terms.

20. Miscellaneous

  • Severability: If a provision is unenforceable, the rest remains in effect.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Entire Agreement: These Terms and any referenced policies (including Privacy Policy) are the entire agreement regarding the Service.
